It attempts to include all statutory and common law pertaining to the subjects of business corporations, non-profit corporations, professional corporations, cooperative associations, marketing associations, actions by and against corporations, limited partnership and limited liability companies. The treatise is organized in a manner which encourages the researcher to review from start to finish the corporation or business organization process. The laws of actions by and against corporations and transfer and registration of shares and securities are included.

The author was born, reared and educated through secondary school in Lexington, Davidson County, North Carolina. He received his BA degree in history from Wake Forest College in 1967 and his Juris Doctors degree in law from the Wake Forest University School of Law in 1970. He has been a practitioner of law in Lexington from his admission to the bar, he is married to Sandra Craver Snyder, and they have two daughters and six grandchildren. He is the author of seventeen books (three are multiple editions).
